Legal and Operations Specialist – Venture Capital

The Legal and Operations Specialist will become an integral part of the Investment Team at U-Start, working alongside the Legal and Portfolio Manager and the other team members, and contributing at diligently manage all the necessary steps for the closing of the investments made by the members of the U-Start Club. The ideal candidate must have great flexibility, multi-tasking capacity, ability to manage complexity and a transaction-oriented attitude.

The extensive network of family offices and funds allows U-Start to access exclusive venture capital investment opportunities worldwide. Focusing on the food, fashion, fintech and lifestyle & media sectors, U-Start also supports its clients in both the due diligence phase and the post-investment monitoring and reporting of their portfolio companies.

Primary Responsibilities

The Legal and Operations Specialist, together and under the supervision of the Legal and Portfolio Manager, will conduct the activities listed below:

  • Due Diligence: autonomously conduct the legal due diligence activities, retracing the funding history of a startup and analyzing the current and past investment documentation.
  • Drafting and negotiation of agreements: contribute to the review, draft and negotiation of the different kinds of legal agreements (e.g. shareholders’ agreements, investment agreements, convertible loans, and others) to be signed by the U-Start Club members in connection to their investments. The agreements will likely belong to different jurisdictions at each time.
  • Investments-related matters: autonomously manage all the activities related to the signing and closing of every investment, closely assisting the U-Start Club members involved.
  • General Corporate Matters: contribute to the management of any new legal matter arising on existing investments, and improve the related internal existing processes (Salesforce, privacy policies and others).
  • Legal Research: perform independent research to solve the issues that concern U-Start and, if needed, to answer client’s specific questions.

What we expect from candidates

  • Education: postgraduate Degree in Law with strong academic performance, preferably in the areas of Civil and Commercial Law.
  • Previous working experience: at least two years of experience experience in either a legal firm or the legal department of a large corporation thanks to which the candidate has gained a deep knowledge and understanding of Corporate law and procedures.
  • Behavioral skills: ability to work under pressure and to autonomously manage multiple stakeholders and counterparts at a time, outstanding written/verbal communication skills and great team-playing attitude.
  • Analytical Skills: strong analytical sense to efficiently examine contracts and quickly frame the problems.
  • Languages: fluent mastery of English (both written and spoken), any additional language is preferred but not required.

Contract type and Future Prospects

  • This is a full-time position with an open-ended contract starting in February/March 2019.
  • The position will be located in the U-Start’s Milan offices.
